Job Title: Legal Counsel

Salary: £110,000

Location: London

Role Overview:

William Rose Associates are working alongside a well-respected  investment office who are on the search for someone to become a member of a growing legal and compliance team with the ability to work independently across various legal workstreams.

Responsibilities:

  • Provide general legal assistance and advice on a variety of legal and regulatory issues (MiFID, AIFMD, UCITS, GDPR) relevant to the business;
  • Negotiate and review of various agreements for the wealth management business, i.e. confidentiality agreements, custody agreements, side letters, investment management agreements, advisory agreements, HR contracts;
  • Structure, launch, and maintain of alternative investment funds (Irish/Lux based AIF / UCITS) including:
  • determine the most appropriate product structure/ domicile upon launch;
  • review and negotiate, as applicable, related legal documentation at launch and throughout the life of the fund (board resolutions, board minutes, constitutional documents, audited financials, etc);
  • provide regulatory and compliance filings with respect to the fund(s) as required, (i.e. registration of funds with the AMF, passporting of funds into EU jurisdictions, etc);
  • Structure, launch, and maintain private equity co-investment access vehicle including: Review investment documentation for underlying transactions;
  • modify any investor subscription forms as required for each investment; and structure access vehicles
  • Advise on global marketing restrictions to enable the firm to conduct its activities in accordance with local rules and regulations.

Requirements:
  • Qualified Solicitor (including qualification in another relevant jurisdiction)
  • 5+ years legal experience in investment management/funds (including prior in-house experience);
  • Regulatory/compliance experience and strong working knowledge of the FCA Handbook;
  • Understanding of investment fund structures (in particular private equity) and other investment products (AIFs and UCITS);
  • Self-starter;
  • Commercially minded and pragmatic;
  • Strong attention to detail;
  • Clear communication skills (written and verbal).
